Registration Procedure

Part A: The Voice- Program & Registration Procedure

1. “The Voice” is a reality based singing competition (“Program”) which will test the music prowess and singing talents of various participants competing against each other and eventually only one participant shall be declared the winner of the singing competition amongst the other participants. The Program shall be organized, managed and produced by a production house (“Producer”) as appointed by Turner General Entertainment Networks India Private Limited (“Company”) and shall be produced and exploited including without limitation, broadcast by the Company.

2. The participation of any individual in the Program shall be governed by these rules and regulations. Therefore, any participant interested in participating and competing in this Program may do so only after reading these rules and regulations carefully. Participation in the Program is voluntary and is at the sole discretion of the Participants. Acceptance of these terms and condition as indicated over the website, through SMS and over IVRS shall be considered as acceptance of these rules and regulation.

3. Eligibility Criteria: To be eligible to participate in the Program,

a. Individuals must apply (“Participants”).
b. The Participant should be a national of India.
c. Child/children participant(s) in the Program should be of 16 years and above at the date of the submission of the entry.

4. This registration process and the rules and regulations stated in this document apply only to the Indians residing in India. Non resident Indians (NRIs) (residing in India or outside India) or foreign nationals or PIO (Person of Indian Origin) or OCI (Overseas Citizen of India) may register through the following website www.imaginetv.com. The rules and regulations applicable for such NRIs or foreign nationals or PIOs or OCIs are also stated on the above mentioned website and only those rules and regulations shall be applicable to them.

5. The registration process for inviting entries shall commence from September 30, 2011 and shall end on October 28, 2011 (“Registration Period”). Participant(s) are expected to log onto the Website regularly and check for changes and /or updates in these rules and regulation.Please note, that from October 21, 2011 onwards, a ‘Waiting List’ feature shall be activated on all 3 modes of registration i.e. – IVRS, SMS and on the Website and shall end on October 28, 2011. The Participant(s) will receive a response message from the Company/ Producer which will say that if the entries for a particular Audition Centre/city are closed, the Participant(s) will be put on waiting list for selection of the Program. If the Participant(s) do get selected for the Auditions, the Company/ Producer will contact the shortlisted Participant(s) via SMS which shall contain the details of the Auditions to be held for the Program such as the name of the Audition Centre, the time, location and venue of the Auditions.

6. A Participant is free to register/send in their applications/entries by following any one of the following modes of Registration respectively:

OPTION (A) Registration by calling on the Interactive Voice Response System (IVRS) Number 58888777

(i) Any Participant can call on the specified number i.e. 58888777. As a part of the Registration Process, the same Participant is required to provide information including personal information or any other such information which shall

be asked by the automated voice recorder during the call. Since this IVRS system is an automated system, the Participant must carefully listen to the instructions provided during the Registration Process and provide the necessary information including pressing the necessary keys as instructed during the call. All the information either

spoken or punched in by the Participant shall be recorded in the system and may be used by the Company in the future as deemed fit. The Participant(s) upon calling will provide the personal details such as name, age, city/town of residence ,etc. and other music/ talent/experience related details as instructed over the call. The Participant shall then be asked to select his/her Audition Centre of preference for the Auditions of the program from the preset list. It is mandatory for the Participant(s) to record a song in the Hindi Language within 60 (sixty) seconds of the instruction.

(ii) The registration must be submitted at any time within the Registration Period. Upon calling the specified number i.e. 58888777 and providing the details as instructed over the call as stated hereinabove, the Participant will receive an SMS from the Company/ the Producer which will contain a unique confirmation registration number/application number allotted specifically to the Participant. The participant will be sent a SMS by the Company/ the Producer at a later date which shall contain the details of the Auditions to be held for the Program such as the name of the Audition Centre, the time, location and venue of the Auditions.

The Registration Process is not open or available for landline users/ subscribers. In the event landline users/ subscribers is able to connect to the number specified above and successfully completes his/ her registration by following the steps as instructed during the call, the Participant will get a call from a call centre executive requesting for the mobile number of the Participant so that a unique confirmation registration number/application number can be allotted specifically to the Participant.

(iii) It is construed that any adult who is registering a child/ children to participate in the Program shall be jointly and/or severally, responsible to obtain all approvals, permissions, consents etc. that may be required by the child/ children to participate in the Program.

(iv) Among the entries that have provided complete and correct information, the Company and/or the Producer shall shortlist few entries. The shortlisted entrants will be contacted by a representative of the Company and/or the Producer. The call shall be made to the Participant on the number registered and stored in the computer. The representative shall ask further questions and based on the information/answers provided by the adult Participant, fill in the details in the registration forms.

(v) Once all the information in the registration form is provided, the representative of the Company and/or the Producer shall allot a registration number which the Participant would have to quote on all correspondence with the Company and/or the Producer. Again, the Company and/or the Producer shall further shortlist entries from the Participants who have been allotted registration numbers and call them for the Auditions as stated herein below. Only the Participants who have been contacted by the Company and/or the producer and asked specifically to come for the Auditions shall be eligible to participate in the Auditions.

(vi) The shortlisted Participants selected in Rule 5 Option A (iv) should also send the certified true copy(ies) of the supporting documents as evidence of the correct information provided by the Participants in the registration form during the Registration Period can be scanned and sent by e-mail as instructed by the Company/ the producer. When sent by e-mail, the original certified true copies must be submitted with the Company/the Producer at the address mentioned or as instructed by the Company/ the Producer on or before the Participant is called by the Company/ the Producer for Auditions as stated herein below. The Participant must also carry photographs and the original supporting documents at the Auditions to enable the Company/ the Producer to verify the documents/information provided in the Registration Form or during the Registration.

(vii) The IVRS shall be opened throughout the period commencing from September 30, 2011 and shall close at a date to be notified in due course on these rules and regulations uploaded on the Website. The subscribers of only Airtel, Aircel, Reliance, Tata, Touchtel, Vodafone, BSNL mobiles, MTNL mobiles, can participate through this mode in the Program. MTNL Delhi Landline users and MTNL Mumbai Landline users cannot participate through this mode and would have to participate through the other modes stated herein above.

(viii) The costs, charges and expenses of registering through IVRS shall be solely borne by the Participant(s). The cost of each pulse charged by the network provider to the subscriber is Rs. 7 per minute.

OPTION (B) Logging on to the web-site www.imagine.tv (“Website”)

The Participant(s) can visit the Website mentioned above and in addition to these rules and regulations, follow the instructions stated on the Website in connection to the registrations for this Program and thereafter answer all the questions/information asked in the registration form correctly and/properly. It is mandatory for the Participant(s) to complete all the fields of the registration form and to upload a song/ in the Hindi Language in the Website.

(i) The Participant may submit the duly filled form on the Website by filling the form online available at the website mentioned above. The registration form must be submitted any time within the Registration Period and upon successful submission of the registration form and uploading of the song on the Website, the Participant will be sent an email by the Company/ the Producer confirming the Participants registration for the Program. The Participant will then receive a SMS which will contain a unique confirmation registration number/application number allotted specifically to the Participant.

(ii) The Participant must answer all the questions/information asked in the registration form correctly and/properly. It is mandatory for the Participant(s) to complete all the fields of the registration form which are marked as “mandatory” which will include personal details and all other music/ talent/experience related details. It is mandatory for the Participant(s) to upload a song/ in the Website which the Participant(s) has recorded in the Hindi Language. The Participant(s) should provide their correct name, date of birth, contact details, email address and will be asked to select his/her Audition Centre of preference for the Auditions of the Program from the preset list available on the Website. After successfully completing the registration form and upon uploading the song recorded by the Participant on the Website, the Participant will be required to accept these rules and regulations/ terms and conditions mentioned on the Website..

(iii) The song/ video uploaded by the Participant(s) in the Hindi language on the Website should not be more than one (1) minute duration or 5 MB. In the song/video, Participant(s) is required to give specific relevant personal details and also state the reason of the Participant wanting to participate in the Program.

(iv) After the successful completion of the registration procedure through this option and an application
number/registration number being allotted to that Participant as stated in Part A Rule 5 option B (ii) herein above, only the shortlisted Participant will be required send the certified true copy(ies) of the supporting documents as evidence of the correct information provided by the shortlisted Participants in the registration form during the Registration Period. All certified true copies of the supporting documents can be scanned and sent by e-mail to [¢]. When sent by e-mail, the original certified true copies must be submitted with the Company/the Producer at the address mentioned on or before the shortlisted Participant is called by the Company/the Producer for Auditions as stated herein below. The shortlisted Participant must also carry photographs and the original supporting documents at the Auditions to enable the Company/the Producer to verify the documents/information provided in the registration form or during the registration. OPTION (C) Sending Short Message Service (“SMS”)

(i) Any Participant can send a SMS to 58888. The SMS sent by the Participant must contain the following information – key word < The VOICE >; space (space) to 58888, following which a response SMS will be sent to the Participant to select his/her preference of Audition Centre for the Auditions. The participant will send the following SMS (space) ; for e.g. typeand then in the following SMS and send it to 58888. Upon successfully sending the SMS to 5888, the Participant shall get a confirmation SMS confirming registration.

(ii) The lines for sending SMS/entries through the mobile number shall be open [from September 30, 2011 and shall end at a date to be notified in due course on these rules and regulations uploaded on the Website.

(iii) The mobile subscribers of only (i) Airtel (ii) Vodafone (iii) Tata Docomo (iv) Reliance (vii) - (v) BSNL Mobile (vi) MTNL Mobile can participate through this mode in the Program.

(iv) The costs, charges and expenses of sending the SMS shall be solely borne by the Participant. The cost of each SMS charged by the network provider to the subscriber is Rs. 3 per SMS, therefore totally arriving at Rs. 6 for both the SMS sent.

7. The Producer shall also be appointing designated talent scouts across the different parts of India for the sole purpose of identifying and selecting candidate(s) to participate in the Program. Such candidate(s) who have been selected through the designated talent scouts appointed by the Producer will not be required to register themselves either through option A or Option B or Option C of Rule 5 mentioned hereinabove.

8. After the Participant(s) has completed the registration process successfully and the registration has been taken on record by the Company and/or the Producer, the Participant(s) will be given a registration number /application number. Receipt of the registration code does not guarantee that the Participant(s) will be eligible for the Audition(s) or for further rounds of selection of the Program. The Company or the Producer or any representative acting through the Company/the Producer will contact the Participant(s) to inform that the Participant(s) has been selected and is eligible to participate in the Auditions or for further rounds of selection of the Program.

9. Neither the Company nor the Producer nor any persons appointed by the Company/ the Producer in this regard, shall be responsible for any kind of network problems and/or breakdown of machinery and/or technical problems and/or technical snags and/or unclear network and/or disconnection/disruption during calls and/or internet usage and/or costs charged by the network provider/internet service provider etc. Any dispute in connection to the same should be settled between the subscriber and the network operator/internet service provider directly without involving the Company or the Producer or any persons appointed by the Company/ the Producer in this regard.

10. Once the registration form is submitted by the Participant, it shall deemed to be construed that all the Participant(s) have voluntary agreed to participate in the Program without any undue pressure from any third party(ies) including the adult/guardian who may apply for the child/ children participating for the registration. The Company/ the Producer and each of the Participants have carefully read these rules and regulations/terms and conditions and have agreed to abide by the rules and regulations and that each of Participants have provided accurate information/filled in the registration form. Any mis-information, wrong information, or failure to provide information by that the Participants shall be considered as mis-information, wrong information, no information (as the case may be) provided by all the members of the Participant(s) and thereby lead to disqualification of the Participants from further participation in the Program.

11. Registration by the Participants is the first step towards the selection process for the Program. Neither the Company nor the Producer guarantees the registration of each and every applicant/ candidate or for the selection to the next stage(s) of the Program. The Company and/or the Producer and/or any third party(ies) appointed by the Company and/or the Producer shall check and scrutinize the applications received and, at the sole discretion of the Company and/or Producer, shortlist the Participants who are eligible to participate in the auditions of the Program ("Auditions"). The Company and/or the Producer and/or any third party(ies) appointed by the Company/Producer shall have the sole right to decide the Participants who shall be eligible to participate in the further rounds of the Program ("Shortlisted Participants") including the Auditions

12. The Company or the Producer or any representative through the Company/the Producer, will contact only the Participants whose contact details have been provided in the registration form to inform that the Participant(s) has been selected and is eligible to participate in the Auditions of the Program. Thus, it is important for the Shortlisted Participant(s) to ensure that the contact details and the e-mail address are correctly provided at the time of registration failing which the Company/the Producer will not be able to inform/contact the Participant(s)

13. If successful contact is made, the Participants shall be asked to be present for the Auditions. The Company/the Producer shall not call or inform the rejected Participant(s), to inform them that they have not been selected for further participation in the Program.

14. Incase a minor i.e. below the age of eighteen (18) years is participating in the Program, then all the registration formalities on behalf of the minor, including the documents must be executed by the natural parent and/or the minor's legal guardian have to be completed and executed. If the natural parent and/or the legal guardian is unable to accompany the minor during the audition of the Program, the natural parent and/or the legal guardian may alternatively, execute a letter authorizing another adult and/ or adult Participant(s) whose name is stated in the letter issued by the natural parent and/or that minor's legal guardian, to accompany the minor and to make decisions and/or sign documents on behalf of that minor and to be responsible in all manner in connection to the minor during the minor's Participation in the Program. The authority letter must be issued only in the name of another adult/ adult
Participating.

15. Further, the Company and/or the Producer reserves the right to use other methods of selection as deemed fit by the Company and/or Producer and may in its sole discretion waive the aforesaid procedure as deemed fit by the Company and/or Producer for selecting the individuals for participating in the Program.

Part B: Auditions

1. The Auditions will be held in various cities and towns in India on various dates/times as solely decided by the Company and/or the Producer.

2. The Shortlisted Participants contacted by the Company or the Producer, its representatives must be present for the Auditions at the nearest audition centre ("Audition Centre") on the stipulated date and time, failing which the Shortlisted Participants, at the sole discretion of the Company or producer, may be disqualified from further participation in the Program. Once disqualified, neither the Company nor the producer shall have any obligation or responsibility towards the shortlisted Participants in relation to the Auditions/Program and shall be free to replace the shortlisted Participants with another Participant.

3. All the Participants must carry documents as proof to verify that all the information provided by them in the Registration process is correct and valid. A valid and subsisting passport copy , ration card, birth certificate, drivers license or such other identification documents could be submitted with the Company and/or the Producer as proof to verify the information provided by the Participants.

4. The Shortlisted Participants at this stage, shall be solely responsible to make all arrangements including travel, accommodation, lodging and boarding during the Auditions. The costs, charges and expenses for the travel, stay, accommodation etc. shall be entirely borne by the Shortlisted Participants and shall be at the sole risk of the shortlisted Participant(s).

5. The shortlisted Participants will have to at the audition stage or at any stage during the course of the Program execute the documents that would be required by the Company/ the Producer /third party appointed by the Company/ the Producer.

6. The Company/ the Producer reserves the right of admission at the Audition Centre on the day of Auditions, for any reason whatsoever, irrespective of whether the shortlisted Participant(s) has been selected and invited for the audition or not.

7. On the day of the Auditions, all the shortlisted Participants must be present and all the Shortlisted Participants shall be interviewed (either jointly or separately or both) and would be asked questions or any other question, perform various tasks to enable the Company/ the Producer to evaluate if the shortlisted Participant is eligible to further participate in the further rounds of the Program. The order/manner of interview/tasks shall be decided by the Company/ the Producer as deemed fit by the Company/ the Producer in its absolute discretion.

8. All participant(s) must maintain decorum at the audition center and follow all the instructions given by the Company and/or Producer and/or their representative(s). None of the Participant(s) should carry any dangerous item or illegal items during Auditions and/or during the participation in the Program. Further, the performance of all the members of the Participant should be in good taste, non-derogatory, and should not be violating any law or social/religious norms etc. At any stage of the Audition, it is found that any of the members of the Participant is misbehaving or is not following instructions or the performance is not upto the mark, the Company and/or the Producer reserve the right to immediately reject the application of the Participant ting and/or disqualify such Participant from further
participating in the Program and shall be escorted outside the audition center. Further, the Company and/ or the Producer reserves the right to take such action (legal or otherwise) against such miscreant Participant as deemed fit by the Company and/or Producer.

9. The Company reserves the right to shoot, film and create episode(s) of the videos/ songs sent by the shortlisted Participants as well as the Auditions/Audition Process as well as from the activities connected to the Auditions including without limitation interview(s), snapshots, sound bytes taken of of the shortlisted Participants, the tasks/acts etc. performed by the shortlisted Participants. The Company shall be the sole and exclusive owner of such television production and shall be free to exploit the same in any manner deemed fit by the Company throughout the world in perpetuity and across any medium, technology, media (in existence and which may be invented in future).

10. The shortlisted Participant after the Auditions will be contacted by the Company and/or the Producer and/or any persons through the Company and/or the Producer. If successful contact is made, such shortlisted Participant shall be informed that they are eligible to participate in the studio round of the Program. During this period, such Shortlisted Participant will have to sign further documents which may be required by the Company/ the Producer. All the members of the Shortlisted Participants would have to travel and stay in Mumbai or such other locations where the Program is being shot for a period as may be decided by the Company/the Producer.

11. The Company and/or the Producer and/or its representatives may want the friends, relatives and acquaintances of the shortlisted Participants to participate in the activities relating to the Program including without limitation

promotional and marketing activities relating to the Program and also ask questions relating to the personal life and /or family life of the shortlisted Participants. The shortlisted Participants shall facilitate and ensure that their respective friends, relatives and acquaintances are present and participate, without any compensations payable by the Company and/or the Producer, in such activities if required by the Company and/or the Producer. Further, all the footage in connection to the activities shall vest solely and exclusively with the Company for worldwide in perpetuity.
